The client’s business is based in the UK, but its main activities are carried out in the CIS. To avoid the risk of registration cancellation due to non-use in the UK, we needed to select the optimal base jurisdiction. We settled on Georgia, where the client already has a distributor and sales. To confirm commercial activity in Georgia, we provided a license agreement for another client’s trademark, already registered in Georgia.

The implemented strategy reduced the risk of trademark cancellation due to non-use and ensured its international protection under the Madrid system.

We helped the client restructure the investment scheme, ensuring the transfer of obligations under existing investment agreements to a new legal entity in the UAE. In the process, we developed a mechanism for transferring investments to a new structure taking into account all legal and regulatory requirements, analyzed and minimized tax risks associated with affiliation of persons. Finally, we developed an intellectual property management strategy so that the client retained control over the game products being created and ensured investment protection.

The Real World Asset Tokenization project is being implemented in the UAE. However, the existing regulatory environment in the UAE does not provide the necessary conditions for such solutions, so a GR project was initiated together with the client, within the framework of which proposals for changing the legislation were prepared.

Now high-level negotiations are underway to introduce these proposals into the federal legislation of the UAE in order to form a legal basis for further development of this area.

Thanks to the optimal choice of the base jurisdiction for international registration, as well as the analysis of accelerated patenting programs, the client was able to significantly reduce the time frame for protecting its technologies and successfully expand its presence in the global market.

Due to the expansion of our network of eSports clubs, we have filed trademark applications in key jurisdictions including Saudi Arabia and the European Union. We also recommended registering a word mark in additional countries for broader protection, rather than being tied to a specific brand style.

The client received robust international brand protection, allowing them to begin franchising in new countries. By registering a word mark, the client will avoid having to re-file applications if their brand style changes, ensuring broad legal protection for the brand from the start.

To successfully launch an NFT game on the global market, it was necessary to prepare a Privacy Policy and Terms of Use, taking into account the Web3 format of the game and the features of its mechanics, the ability to create and sell NFT characters, and NFT transactions through third-party marketplaces. We developed universal legal documents that, despite complex in-game and technical processes, were written in simple and accessible language for users.

The documents we prepared provided a legal basis for the launch of the game, protected the client from potential claims from users and regulators, and guaranteed compliance with international law.

We developed a distribution model through a distributor in the UAE so that the client could receive royalties from foreign clients. At the first stage, we conducted a detailed analysis of the risks associated with software rights transfer agreements. We prepared strategic recommendations to eliminate possible threats of loss of rights and ensure sustainable legal protection of the business. After that, we developed a license agreement for the use of software in the MENA region, which ensures the automatic transfer of rights to derivative products and new versions of the software to the Cypriot company.

We developed a client's copyright protection strategy to support international business expansion, prepared copyright works for deposit, selecting the optimal format and description to increase the chances of successful registration.

The client's copyright was successfully deposited in the US Library of Congress, which significantly increased the level of international brand protection and ensured legal security during global business development. The client received official confirmation of rights, which minimized the risks of infringement and simplified the protection of its intellectual property at the international level.

We proposed to use a legal entity in the UAE as a developer of a new version of the software. To implement the project, our team developed a comprehensive agreement between the copyright holder and the legal entity in the UAE, which regulated the creation of a new version of the software by a foreign legal entity and its subsequent license for foreign clients, and also delimited both versions of the software to eliminate the risk of infringement of rights to the original software.

The signed agreement allowed the client to officially launch the development of a new version of the software intended exclusively for foreign clients, while the copyright holder of the new version is a company in the UAE. This approach ensured legal protection of the client's rights, eliminated the risks of infringement of intellectual property and allowed the business to scale smoothly in the MENA region.

We conducted a detailed analysis of the tax consequences of new amendments to the R&D deduction rules in the US, assessed the risks and potential financial losses of the client and
developed a strategy for transferring part of the operations from the US to the UK to optimize the tax burden.

The client received a clear understanding of the consequences of changes in US tax legislation and was able to optimize the structure of operations, minimizing financial losses. By transferring part of the activities to the UK, the company reduced the tax burden and ensured stability of R&D financing in the new conditions.

We prepared a memorandum on the current legislation on media content, including the criteria for its application, the main legal requirements and the specifics of licensing content from external platforms. In addition to the memorandum, we developed a detailed guide for the client's employees, including recommendations for selecting content, an analysis of high-risk and sensitive topics in accordance with UAE legislation, as well as ways to minimize legal risks, including licensing requirements.

The client received a clear strategy for complying with licensing requirements, which ensured legal security when purchasing and distributing content. The developed guide allowed us to minimize the risks of violations, optimize the content selection process and avoid potential disputes.

The complexity of the project was that the imitation concerned the color scheme and composition of the packaging, and traditional trademarks would not provide sufficient protection. We developed a step-by-step registration strategy, including the registration of traditional trademarks, the registration of simplified versions of marks, and the registration of a non-standard color/composition trademark. This approach allowed us to rely on previously registered trademarks, which simplified the registration of the most complex and controversial mark from the point of view of the national patent office.

The client received an effective brand protection strategy and trademark registration, which provided him with legal tools to combat counterfeiting.

In cooperation with a Russian venture company, we conducted a study of the state of venture capital in Russia and in a global context. During the study, key success factors and current problems of Russian technology parks and business incubators were identified.

Based on the study, amendments were made to the Civil Code of the Russian Federation concerning venture investments, including provisions on conditional performance of an obligation, collateral, joint account and escrow agreements.

We identified an incorrect implementation of the OECD NEXUS approach in the legislation on tax incentives for the IT sector. To eliminate this legal error, we held discussions with OECD experts, took part in a public discussion in Kazakhstan and proposed appropriate amendments.

Based on our initiative and the work done, amendments were made to Kazakhstan's IT legislation. As a result, tax incentives for the IT sector in Kazakhstan were brought into line with OECD principles, and Astana Hub residents received legal certainty when receiving tax preferences.

The main challenge of the project was that the brand portfolio was developed by the client's marketing department without preliminary legal analysis, and the marketing strategy was already at an advanced stage. We identified risks associated with public order and the peculiarities of the Arabic language, and developed a strategy to eliminate them for safe entry into the Arab market. After agreeing on the legal and marketing strategy, we supported the legalization of documents for trademark registration.

Thanks to early risk assessment, our team successfully supported the process of trademark registration in the MENA countries without refusals from local authorities. This allowed the client to safely and legally enter the Arab market, ensuring brand protection and its compliance with local regulations.

We analyzed existing financial brands in the UAE to identify similar signs and determine possible obstacles to registration. We created a risk map describing potential problems and developed a strategy to minimize them. In addition, we prepared an individual list of goods and services, which serves as a basis for negotiations with the owner of a similar trademark.

As part of the negotiations, we received consent to register the client's trademark from the owner of a similar mark and signed a coexistence agreement with them, which established mutual guarantees and restrictions on the use of the brand in the UAE market. After registering the trademark, the client was able to conduct client transactions, marketing campaigns and interact with investors without legal risks.

The client developed a Web3 crypto wallet integrated with Telegram. Initially, the project was developed by an Estonian company, but there was no proper documentation for legal protection of intellectual property (IP).

We audited the IP creation processes by developers to ensure compliance with IP legislation. After that, we developed a package of documents ensuring the automatic transfer of rights to all past and future project developments to the client's holding company in the UAE. In addition, we developed an option agreement between the client and the holding company, granting the client the right to buy out all key IP assets in the event of a corporate conflict.

Our solution ensured reliable protection of the client's IP and legally secured the ownership of the IP in a strategically important jurisdiction - the UAE. The option agreement created an additional layer of security, allowing the client to be guaranteed to retain control over key assets in the cryptocurrency and Web3 space.

We conducted an in-depth analysis of multi-jurisdictional agreements governing IP rights within a corporate group, including contracts governed by the laws of the UAE and Hong Kong. The analysis covered checking overlapping IP agreements for possible risks of loss or encumbrance of rights, analysis of international private law to assess conflict of laws rules applicable to the transaction, and development of a dispute resolution strategy, including arbitration protection mechanisms in different jurisdictions.

The conclusions from our analysis allowed the client to fully assess the IP landscape of the transaction and make an informed decision on the possible acquisition of a CIS company that owns the rights to a popular animated series.

We ensured legal transparency and reliability of the transaction, including notarization of contracts and transfer of rights in the UAE. After the successful acquisition of the software, we developed a custom contract structure that optimized payment processes for entering the Saudi Arabian market. The scheme involved the client's holding company in the UAE, local partners and a payment agent.

As a result of the transaction, the client's holding company in the UAE became the copyright holder of the key software, which allowed it to scale its implementation in 150+ clubs around the world. Thanks to the optimized contract structure, the client received a legally secure payment mechanism in Saudi Arabia, as well as a ready-made strategy for franchising expansion into this market.

To implement the project, we proposed a structure with two companies in one of the free zones in the UAE: a holding company - owns the rights to the image and content, an operating company - is engaged in commercial activities based on a license agreement with the holding. Our team developed a full set of legal documents for the implementation of the corporate structure, ensured the registration of companies and the transfer of intellectual property rights.

The client successfully acquired the rights to the image and content of the influencer, building a flexible corporate structure in the UAE. This approach allowed for a clear separation of ownership of intellectual property and commercial activities, ensured a transparent distribution of shares between partners and optimized the content monetization process.

As part of the support, we prepared and agreed on a Term Sheet, negotiated and prepared a share purchase agreement, developed the charter for the new company and coordinated negotiations between the founders and investors, ensuring the achievement of mutually beneficial terms of the transaction.

The group of companies was successfully incorporated in Hong Kong and Cyprus taking into account tax efficiency and corporate benefits. All founders received fair and transparent mechanisms for the ownership of shares in the company, and the developed option agreements provided legal mechanisms for the founders to exit the business in case of disagreement. The company operates successfully, taking into account all legal and tax requirements.

The target structure required both companies to have different shareholder compositions, as well as agreements between them. We drafted two shareholder agreements for both companies, amended the constituent documents (memorandum and articles of association) of both companies, split the shares of one of the companies and issued a new class of shares, ensured the transfer of shares of each company to the target shareholders.

A corporate structure was created, including a holding company and an operating company for the actual conduct of business and project development. All corporate procedures were closely linked and synchronized with the acquisition of intangible assets and attracting investments into the companies.

We studied the regulations in Brazil that were relevant to our client, including regarding age ratings and requirements for video games. Taking these requirements into account, we prepared the Terms of Service, Privacy Policy, based on the features of the game and possible risks.
